Breathe Training & Development (“BTD”, “we”, “us”, “our”)


Effective date: February 19, 2026

These Terms of Service (“Terms”) govern your access to and use of our website, content, events, and services (collectively, the “Services”). By using the Services, you agree to these Terms and to our Privacy Policy.

If you do not agree, do not use the Services.

2) Eligibility & account responsibilities

You must be the age of majority in your province/territory (or have parental/guardian consent) to use the Services.

If you create an account or register for an event, you are responsible for keeping your login details secure and for activity on your account. Notify us immediately of unauthorized use.


3) Use of the Services (acceptable use)

You agree not to:

Break the law or violate others’ rights.

Upload or transmit malware, harmful code, or spam.

Scrape, copy, or frame content without permission.

Interfere with or disrupt the website, systems, or security.

Misrepresent your identity or affiliation.

Use the Services to provide competing services or to build a similar product.

We may suspend or terminate access for violations.


4) Content, ownership, and license to you

Our content: The website, training materials, resources, courseware, logos, trademarks, and all other content are owned by BTD or our licensors and protected by intellectual property laws.

Your license: We grant you a limited, revocable, non‑exclusive, non‑transferable license to access and use our content for your internal, non‑commercial business purposes, subject to these Terms.

No redistribution: You may not copy, reproduce, republish, distribute, or create derivative works from our content without our prior written permission (except as permitted by law).


5) User submissions & feedback

If you submit questions, comments, survey responses, testimonials, or other content (“Submissions”):

You represent you have the right to share them and that they do not infringe any rights or contain unlawful or confidential material.

You grant BTD a non‑exclusive, royalty‑free, worldwide license to use, reproduce, and display Submissions for operating and improving the Services (and, with your consent where required, as testimonials or case studies).

We may remove Submissions that violate these Terms.


6) Professional services, training, and events

Informational only: Our materials and sessions provide general information and are not legal, financial, or medical advice. You are responsible for your organization’s decisions and compliance.

Event registration: Your registration is complete when we confirm it. We may set participant limits and prerequisites.

Recordings: Live sessions may be recorded. If recorded, we will disclose this; attendance implies consent to recording and use for internal quality and (with consent where required) future learner access.

Certificates/CE credits (if any): Issued at our discretion upon meeting stated requirements.


7) Purchases, pricing, refunds (if applicable)

Pricing & taxes: Prices are shown in CAD unless stated otherwise, exclusive of applicable taxes. We may change prices at any time (changes do not affect confirmed orders).ayments: We accept cheque and e-transfer. You agree to provide accurate billing information.

Cancellations & refunds: Events/Webinars: Full refund if cancelled 60 days before the event; 50% refund if 30 days before; no refund within 29 days. Substitutions permitted with notice. Training/Consulting engagements: Governed by the applicable Statement of Work or Agreement; in case of conflict, the SoW/Agreement prevails. Digital downloads: Non‑refundable once delivered, unless defective or prohibited by law.

Chargebacks: Contact us to resolve issues before initiating a chargeback.


8) Third‑party services & links

The Services may include links or integrations with third‑party platforms (e.g., Zoom/Teams, Eventbrite, payment processors, email marketing). We are not responsible for third‑party content, availability, or practices. Your use of third‑party tools is governed by their terms and privacy policies.


9) Privacy, cookies, and marketing

Your use of the Services is subject to our Privacy Policy. We use cookies and similar technologies; non‑essential cookies are used with consent where required. You can unsubscribe from marketing at any time. (See our Privacy Policy for details.)


10) Accessibility

We aim to make our website and events accessible. If you need accommodations, contact us at least 10 business days before your event or engagement.


11) Disclaimers

The Services are provided on an “as is” and “as available” basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

We do not guarantee uninterrupted or error‑free operation, that defects will be corrected, or that the site is free of viruses or other harmful components.

Training outcomes depend on many factors beyond our control; results may vary.


12) Limitation of liability

To the maximum extent permitted by law:

BTD and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, goodwill; or business interruption, arising out of or related to the Services or these Terms.

Our total aggregate liability for any claims relating to the Services or these Terms will not exceed the greater of (a) CAD $500 or (b) the amounts you paid to us for the Services giving rise to the claim in the 3 months preceding the event.

Some jurisdictions do not allow certain disclaimers or limits; in those cases, our liability is limited to the maximum extent permitted by law.


13) Indemnity

You agree to indemnify and hold harmless BTD and our personnel from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your Submissions, or your misuse of the Services.


14) Suspension & termination

We may suspend or terminate access at any time for any reason, including violations of these Terms or legal/compliance reasons. Upon termination, your right to use the Services ends, but sections that by their nature should survive (e.g., ownership, disclaimers, limitations of liability, indemnity) will survive.


15) Changes to the Services or these Terms

We may update the Services and these Terms from time to time. When we make material changes, we will update the Effective date above and, where appropriate, provide notice on the website. Continued use after changes means you accept the updated Terms.


16) Governing law & dispute resolution

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict‑of‑laws rules.

Venue: Courts located in Ontario, Canada shall have exclusive jurisdiction.

Good‑faith resolution: Before starting a claim, the parties will attempt to resolve disputes in good faith, including a discussion between senior representatives.

Injunctive relief: Either party may seek injunctive or equitable relief at any time for actual or threatened infringement, misappropriation, or breach of confidentiality.


17) International use

Our Services are controlled from Canada. If you access them from other jurisdictions, you are responsible for compliance with local laws. We do not represent that the Services are appropriate or available in all locations.


18) Entire agreement & priority

These Terms, together with any order forms, Statements of Work, or written service agreements between you and BTD, constitute the entire agreement regarding the Services. If there is a conflict, the signed agreement or SoW will prevail over these website Terms to the extent of the conflict.


19) Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, power or internet failures, or third‑party service outages.
